A sizable portion of our tax practice is devoted to planning and
executing complex structured finance transactions and tax-free and taxable mergers and
acquisitions including tax planning, senior executive employment agreements, change in
control agreements and benefit plan treatment. Aside from traditional tax matters,
services include representation of clients before administrative tax agencies and before
state and federal courts with jurisdiction over tax matters.
The firm's employee benefits practice works hand-in-hand with our labor and
employment practice regarding all aspects of employee pension, welfare
benefit, and executive compensation programs including design, maintenance, and compliance
with obligations under federal employee benefits and related tax law. Representing
employer/plan sponsors and health and life insurers, we regularly litigate all aspects of
ERISA, the Employee Retirement Income Security Act, and issues arising from pension plans,
ESOPs, health and welfare benefit plans, disability plans and group life insurance plans,
particularly in the context of a merger or acquisition.
