Dick concentrates his practice in corporate
tax and employee benefit matters and advises clients on mergers and acquisitions, employment agreements,
stock-based compensation and other plans in connection with
transactions involving a change in control.
Dick advised American Bank (Meridian Bank) on the tax aspects of a
series of mergers that grew the company from $1 billion in 1977 to
$17 billion in 1996 when it was acquired by CoreStates, and in the
conversion of Penn Savings Bank (now Sovereign Bank) through a
series of mergers that have today made it one of the largest
savings banks in the nation.
Dick has also advised financial institutions on the tax aspects
involved in more than 20 separate mergers aside from those
involving Sovereign Bank and the former Meridian Bank. He has
served as an advisor to insurance industry clients and has
assisted property and casualty insurance clients on tax issues in
mutual to stock conversions including that of Old Guard Group,
Inc., the first in Pennsylvania to convert from mutual to stock
form. Dick also assisted in the sale and restructuring of two
leveraged ESOP-owned companies.
Dick is a former attorney with the Office of Chief Counsel,
Internal Revenue Service, and a staff member with KPMG.
