Scott focuses his practice on several facets of
business organizations and finance, including capital transactions for
emerging businesses, syndications and private placements, joint
ventures, acquisition and sale transactions and securities law.
He concentrates the majority of his practice on
captive insurance, risk retention groups and other insurance-based
transactions. With more than 15 years of experience in this field,
Scott integrates clients’ business objectives with the complex tax
considerations, regulatory requirements and securities law
requirements that influence the structure of a captive. Most recently,
Scott has been counsel in a number of significant transactions in the
health care industry involving captives and risk retention groups for
hospitals, physician groups and nursing homes.
Scott also has substantial experience in the
acquisition, financing and syndication of real estate investments in
which he structures partnerships and other investment vehicles and
securities law compliance for those transactions. He is also general
counsel to a number of middle market companies, where he handles
acquisitions and divestitures, joint ventures, financings and their
general corporate law needs.
