David W. Swartz
concentrates his practice on the representation of business clients in
corporate matters, capital formation, securities law compliance and
mergers and acquisitions.
Dave has represented
publicly traded financial institutions in more than 50 acquisitions
involving banks, insurance and securities brokerage operations and
registered investment advisors. He has served as counsel to the
issuers in public and private capital markets transactions totaling
more than $5 billion. He also regularly counsels public companies on
capital formation and securities law disclosure matters, mergers and
acquisitions, change-in-control and shareholder activism issues, and
corporate governance matters.
Dave was one of the
principal lawyers advising Sovereign Bancorp, Inc., in the $2.4
billion stake-out investment in Sovereign by Banco Santander Central
Hispano, S.A., and the related acquisition by Sovereign of
Independence Community Bank Corp. during the proxy contest activities
conducted by Relational Investors. He most recently advised Boardwalk
Bancorp, Inc., in its acquisition by Cape Savings Bank in connection
with Cape’s conversion from a mutual to the stock form of organization
and Nova Financial Holdings, Inc., in its acquisition of Pennsylvania
Business Bank.
