Stevens & Lee has extensive experience representing faith-based health care providers. We act as outside general counsel to a number of faith-based health care systems and long term care facilities, including Catholic-sponsored providers, and represent these clients and others in matters of organizational structure, joint ventures, joint operating companies, integrated delivery systems, ownership and operation of health care facilities and provider networks, and sales and disposition of assets, while taking into account their mission to deliver care to the poor, commitment to their religious ideals when providing care and their obligation to continuously satisfy certain canonical and related requirements. We work with general counsel and sponsor organizations and canonical authorities with respect to these matters.

We assist them in ensuring compliance with all applicable laws, regulations and accreditation standards, taking into account the Ethical and Religious Directives for Catholic Health Care Services.

We have assisted in merger and other corporate affiliation transactions between secular and faith-based health care system clients and are well-versed with the unique structural and operational issues such transactions involve, including obtaining canonical approvals when necessary.

Examples of our work in this area include the following:

  • Represent Catholic hospital systems in acquisitions of non-Catholic hospitals which become Catholic
  • Advise hospital systems in their reorganizations from initial joint operating company structures into more traditional parent model organizations while maintaining the status of the faith-based hospitals
  • Represent Catholic dioceses in the acquisition of long term care facilities
  • Represent faith-based hospitals (systems) in whole system joint operating arrangements and in joint ventures, including rehabilitation hospitals, ambulatory surgery facilities, home health agencies and integrated care networks
  • Assist faith-based health care systems in the acquisition of physician practices, employment of physicians and co-management arrangements with physicians
  • Assist faith-based health care systems in the disposition of assets and in the reconfiguration of service delivery networks
  • Assist faith-based senior living organizations with acquisitions, establishment of subsidiaries, and joint ventures in compliance with the relevant faith-based requirements
