We assist hospitals and health systems, post-acute care and senior living organizations, physician practices and other providers in completing their real estate projects in a timely and cost-efficient manner. Because of our platform’s breadth and depth of experience in the health care sector, our real estate lawyers understand the dynamics of this industry and the associated challenges in the areas of real estate, land use and construction, and typically are involved in development teams from project conception through the issuance of occupancy permits.

Stevens & Lee has assisted health care clients in a variety of real estate transactional matters, including purchases, sales, joint ventures and leases involving all types of health care provider facilities, as well as related facilities, including medical office buildings, residential facilities and medical campus projects. We have drafted and negotiated agreements of sale, bid documents and design and construction contracts, as well as highway improvement development agreements, utility capacity agreements and water and sewer supply agreements. We have also drafted and negotiated leases and performed due diligence to identify and address deed or access restrictions, title or environmental issues or easements.

We also have obtained municipal zoning, subdivision and site plan approvals and state permits for single and multiple use projects on behalf of health care entities.

Our real estate finance team assists health care clients in the capitalization of real estate transactions and projects through banks and other financial institutions and entities, including assisting clients in structuring loan participations and syndications for real estate acquisitions, development, refinancing and expansion projects.

We have structured, negotiated and documented off-balance sheet transactions for the divestiture of capital real estate, including sale-leasebacks, on behalf of health care institutions, and have significant expertise in tax-free and taxable financing, as well as tax-credit driven financing, bond financing and refunding for completed projects.

In addition, we have extensive experience preparing and negotiating construction, architectural and engineering contracts for a wide range of projects, and have assisted our health care clients in the resolution of construction disputes and mechanics’ lien claims, performance and payment bond claims, title and boundary disputes and other construction-related matters, including litigation and arbitration proceedings and all forms of alternative dispute resolution.

In conjunction with our tax lawyers, we also assist health care entities in real estate tax matters, including nonprofit charitable exemptions and PILOT/SILOT negotiation and documentation.
