James B. Longacre Presents at PACB Annual Convention
READING, PA, October 9, 2015 – James B. Longacre, a Shareholder with Stevens & Lee, presented at the Pennsylvania Association of Community Bankers Annual Convention held September 25 – 28, 2015, in Colorado Springs, CO.
In the session, “Executive Compensation in Bank M&A,” Mr. Longacre aimed to help bank leaders better prepare for growth or for an acquisition. The discussion centered on best practices in employee benefits and executive compensation to ensure that banks retain the employees and decision makers needed to be successful during and after a transaction. Mr. Longacre also shared information about current trends in executive compensation, including employment agreements, deferred compensation and planning for golden parachute payments and excise taxes.
Mr. Longacre concentrates his practice on employee benefits/ERISA and executive compensation matters. He advises clients on the structure and administration of pension, 401(k) and nonqualified deferred compensation plans. He also assists clients with welfare benefits, COBRA and HIPAA concerns.
In addition, Mr. Longacre has negotiated executive compensation agreements and analyzed issues arising in mergers and acquisitions, including strategies and methods for reducing tax liability arising from golden parachute payments. He has extensive experience in the representation of multiemployer benefit funds, association health plans and professional employer organizations (PEOs). Mr. Longacre is an active member of the National Association of Professional Employer Organizations (NAPEO) and is a member of NAPEO’s Legal Advisory Council. He regularly handles matters before the Internal Revenue Service, the Department of Labor and the Pension Benefit Guaranty Corporation.
Mr. Longacre worked for an international law firm in Washington, D.C. prior to joining Stevens & Lee.
He has a J.D. from Georgetown University Law Center, and a B.A. from Goshen College.
