Health Care Attorney

We have an immediate opening for a mid-level Associate to join our Health Care Department in our King of Prussia, Pennsylvania office. Our Health Care Department represents and assists hospitals and health systems, physicians and other providers in meeting the many challenges they face in a changing and consolidating industry. We bring lawyers of diverse experience, educational backgrounds and industry expertise together to provide a full range of legal services tailored to the needs of this highly regulated industry. We represent many types of health care organizations, including some of the largest health care providers in Pennsylvania, New Jersey and throughout the Mid-Atlantic region, in a complete range of transactional, regulatory, and patient care matters.

Our ideal candidate will have 3 to 5 years of diverse health care legal experience. We seek highly motivated, growth oriented individuals. Excellent oral and written communication skills, strong organizational skills, attention to detail and the ability to multi-task are prerequisites. The ideal candidate will be detail oriented, have strong writing skills, and possess at least 2-3 years of corporate immigration processing experience, including filing of PERM cases. ESOP Attorney

Due to continued growth and expansion, we have an immediate opening for a mid-level Attorney to join our ESOP (“Employee Stock Ownership Plan”) Group. An ESOP involves a sale of the business to a retirement trust that ultimately benefits the company’s employees. ESOP companies help build community wealth and narrow the income gap for low- to moderate-income families. ESOPs also help keep businesses in the community.

Our ESOP lawyers are part of our SES ESOP Strategies, LLC (“SES”) Platform. SES is a 17-person national consulting firm that combines the expertise of ESOP consulting, financial, investment banking and legal professionals to assist companies in creating and maintaining successful, sustainable employee ownership results through an ESOP.

Our ideal candidate will have 5 to 7 years of strong mergers and acquisitions transactional experience. ESOP experience is not required. You will work in a collegial, flexible location from any one of the following offices in Pennsylvania: Bala Cynwyd, Harrisburg, King of Prussia, Reading or Philadelphia. Corporate Associate

Due to continued growth and expansion of our M&A and debt/equity investment practice, we have several openings for experienced corporate associates in our Valley Forge, Philadelphia, Reading (PA) offices.

Our ideal candidates will assist us to represent clients in negotiating, structuring and documenting transactions of all types, including M&A, senior debt, mezzanine and equity investments. You must have 4 to 10 years of strong M&A/transactional experience, specifically with respect to the documentation and closing of such transactions.

In the case of our debt practice, we serve companies, as well as lending and other financial institutions that provide important sources of capital to companies as they grow. We are specifically looking for expertise in secured transactions and practical knowledge of the UCC.
