Dean H. Dusinberre, Sunjeet S. Gill and Jordan S. Winick Present at PACB Annual Convention

READING, PA, October 1, 2019 – Stevens & Lee Shareholders Dean H. Dusinberre and Sunjeet S. Gill, and Griffin Financial Group’s Jordan S. Winick presented to an audience comprised of bank directors at the Pennsylvania Association of Community Bankers Annual Convention held in Colorado Springs, CO, on September 28, 2019.

In “Mergers and Acquisitions: Legal and Financial Considerations,” Messrs. Dusinberre, Gill and Winick shared the legal and financial considerations that need to be addressed when planning for a merger or acquisition. Additionally, they examined important financial metrics of which directors should be aware when discussing M&A transactions in the boardroom.

Mr. Winick also served as a member of the conference’s Investment Banking Panel discussion held on September 27, 2019.

Mr. Dusinberre has more than 30 years of experience representing financial institutions in mergers and acquisitions, capital formation, securities law compliance, corporate governance and regulatory matters and serves as lender’s counsel in connection with both loan originations and loan workouts. He also represents private companies in mergers and acquisitions, business succession, stockholder and other owner disputes. He holds a J.D. from Case Western Reserve University and a B.A., cum laude, from Gettysburg College.

Mr. Gill focuses his practice on mergers and acquisitions, joint ventures, securities offerings and similar transactions for clients in various industries. In recent years, he has focused on matters involving financial services/technology, energy, manufacturing and retail-facing companies. He represents business enterprises, investment banking firms, financial sponsors, executives, shareholders, boards of directors and special board committees in their capacities as purchasers, sellers, borrowers, lenders and financial advisors.

Mr. Gill also assists clients with mutual-to-stock conversions, equity and debt capital market transactions, such as initial public offerings, SEC-registered secondary offerings, private placements, registered and exempt debt issuances and alternative risk transfer transactions.

Mr. Winick is a Vice President in Griffin’s Financial Institutions Group. He advises banks and thrifts on buy-side and sell-side M&A transactions, capital offerings (sizing, timing, pricing) and branch purchases/sales. In addition to transactional work, Mr. Winick works closely with management teams and boards of directors providing advisory and expertise on industry themes and trends, presenting at shareholder meetings, participating in board educational sessions as an industry expert, and facilitating board and management strategic planning sessions. He represents Griffin at conferences with national and regional industry groups, national and regional accounting and advisory practices, discussing the state of banking, the M&A environment and capital-related topics. A CPA, he holds a B.S. in Finance from The Pennsylvania State University and Series 7, 63 and 79 licenses from FINRA.
