Amanda has more than 15 years of experience advising banks, fintech companies and other non-bank financial institutions on a wide range of regulatory and compliance, securities and corporate governance matters. In addition to her banking and fintech practice, she represents businesses in mergers and acquisitions and other transactional, corporate, contract and governance matters. She focuses on delivering pragmatic, business-minded guidance to help clients navigate complex legal and regulatory challenges.
Amanda has extensive experience representing all types of financial institutions, their boards of directors and senior management. She provides counsel regarding transactions, corporate structuring, control, operations and regulatory matters, including compliance with the Bank Secrecy Act and anti-money laundering laws, consumer financial protection regulations and global data privacy requirements. She represents clients in matters involving various federal and state bank regulatory agencies, including the Federal Reserve, the Office of the Comptroller of the Currency (OCC) and Federal Deposit Insurance Corporation (FDIC). Amanda also advises banking clients on a range of securities issues, including with respect to debt and equity offerings, registration requirements and exemptions, and 1934 Act compliance, including annual and quarterly reports and proxy solicitations.
Amanda also counsels clients with respect to global trade and economic sanctions matters. She has experience representing U.S. businesses seeking foreign investment in national security reviews before the U.S. Committee on Foreign Investment in the United States (CFIUS). As CFIUS counsel, Amanda is adept at anticipating transaction impediments, determining whether a transaction warrants notifying the U.S. government and, where appropriate, developing declarations and notices. She also advises on matters relating to economic sanctions administered by the Office of Foreign Assets Control (OFAC).
Prior to private practice, Amanda worked as in-house counsel at E*Trade Bank and as a law clerk at the U.S. Federal Trade Commission, where she reviewed proposed mergers for anticompetitive issues.
