He has experience negotiating and drafting deals that are backed by representation and warranty insurance as well as traditional indemnification packages.

Randy also has experience working with entrepreneurs and management teams in a corporate counsel context. He has drafted formation documentation for new ventures, including custom‑tailored limited liability company agreements. Additionally, he has directly handled or facilitated the preparation of the gamut of typical corporate actions, including board and shareholder approvals, internal restructurings/reorganizations and recapitalizations, equity incentive plan implementation and employment documentation.

Randy’s experience extends to negotiating, drafting and reviewing a range of commercial contracts, with particular experience regarding portfolio companies of existing private equity company clients.
