Derick S. Kauffman and Mark E. Rosenstein Join Stevens & Lee
Firm Expands Public Company Corporate and Transactional Practice
VALLEY FORGE, PA, May 3, 2023 – Stevens & Lee announced today that Derick S. Kauffman and Mark E. Rosenstein have joined the Corporate, Finance and Capital Markets Department and will be based in the firm’s Valley Forge office.
They each bring more than 20 years of experience in public company transactions, including expertise in initial public offerings (IPOs), and a particular niche with Special Purpose Acquisition Companies (SPACs), as well as SEC reporting matters and compliance, corporate governance matters and stock exchange listing requirements and compliance.
Mr. Kauffman strategically assists clients in corporate finance, mergers and acquisitions and general corporate matters, including public company reporting and governance issues. He has niche experience in the representation of SPACs, guiding SPACs from formation through the IPO process and execution of their business combination plans. His representations span a range of industries and include cross-border public and private financing transactions and securities offerings of debt and equity.
Mr. Kauffman has handled a range of complex and sizable business combinations, including that of Intermex Holdings II, Inc. and FinTech Acquisition Corp. II. He has led all elements of acquisitions on behalf of clients, from diligence on the target and drafting and negotiating the acquisition agreement to managing related ancillary agreements and preparing the relevant proxy solicitation materials. In addition, he also has experience negotiating, drafting and reviewing various contracts.
Mr. Kauffman earned his J.D., summa cum laude, from Villanova University School Law and his B.S., summa cum laude, from Elizabethtown College.
Mr. Rosenstein focuses his practice in the areas of securities, general corporate matters, mergers and acquisitions and corporate financing. Clients often rely on him to structure and prepare documentation for public and private securities offerings, exchange act reporting compliance, commercial loans and mergers and acquisitions. He has acted as corporate counsel to publicly and privately traded finance companies, natural resources companies, real estate investment trusts and multi-state banking organizations.
Mr. Rosenstein also has niche experience in public offerings of SPACs on behalf of issuers. He guides SPACs through IPO process and provides effective approaches to business combination plans. Mr. Rosenstein formulates structural changes of the new generation of SPACs and handles mergers with other corporations. His experience extends to assisting clients with general IPO representation, including: SEC reporting, special meetings, proxy statements, structuring of boards, committees and other public governance issues per NASDAQ and NYSE requirements.
Mr. Rosenstein earned his J.D. and B.A. from George Washington University.
