Mark is a strategic ally to clients and focuses his practice in the areas of securities, general corporate matters, mergers and acquisitions and corporate financing. Clients often rely on him to structure and prepare documentation for public and private securities offerings, exchange act reporting compliance, commercial loans and mergers and acquisitions.

Mark has niche experience in public offerings of special purpose acquisition companies (SPACs) on behalf of issuers. He guides SPACs through the initial public offering (IPO) process and provides effective approaches to business combination plans. Mark formulates structural changes of the new generation of SPACs and handles mergers with other corporations. His experience extends to assisting clients with general IPO representation, including: SEC reporting, special meetings, proxy statements, structuring of boards, committees and other public governance issues per NASDAQ and NYSE requirements.

Mark tailors his counsel and guidance to the particular business goals of each of his clients, with an emphasis on pragmatic and cost-effective solutions. He has acted as corporate counsel to publicly and privately traded finance companies, natural resources companies, real estate investment trusts and multi-state banking organizations.
