Kara centers her practice on the representation of parties to commercial finance transactions, with a particular focus on secured transactions under Article 9 of the Uniform Commercial Code. Through her dynamic practice, she represents clients in all types of commercial finance transactions, including leveraged and syndicated financing arrangements, term loan facilities, hedging transactions, acquisition financings, sale and leaseback transactions, public project financings and factoring arrangements.

As a corporate attorney, Kara also advises clients with respect to sales and acquisitions of businesses, drafting and reviewing commercial contracts, and entity formation and governance.

Beyond strategically pursuing her clients’ interests, Kara serves as an adjunct professor of law at Penn State Dickinson Law, where she teaches a course on transactional drafting, and at Widener Commonwealth Law School, where she teaches a course on Article 9 secured transactions.

  • Represented multinational company in negotiation and structuring of a $1.1 billion asset-based credit facility
  • Represented syndicate of private equity lenders in their making of an aggregate $5.9 million in equity investments and $17 million in term loans which were secured by assets located in over 20 fitness facilities throughout Texas
  • Represented a buyer in its acquisition of the capital stock of two Turks and Caicos corporations that jointly own and operate a timeshare resort on Providenciales Island in Turks and Caicos
  • Represented large national company in the amendment of its syndicated $120 million credit facility including revolving loans, term loans, and a delayed draw loan facility
  • Represented manufacturer of rubber products in its acquisition of the assets of two rubber recycling and processing companies and one transportation company, with assets located in New York and Pennsylvania, for a combined purchase price of $27 million
  • Represented regional bank in its making of a $50 million term loan to local real estate developer for construction of a retail center in downtown Hershey, PA
  • Represented regional bank in its making of an aggregate of $6.5 million to a group of affiliated borrowers for the purpose of financing the costs of developing 6 parcels of real estate located in York County, PA
