Linda dedicates her practice to corporate, transactional and regulatory matters for business clients. She advises on entity formation, asset/stock sales, mergers and acquisitions (M&A), business divorce and succession planning. Her experience extends to contracting support and due diligence in M&A matters. Highly collaborative, detail-oriented and a proactive risk manager, Linda has successfully structured, from inception to completion, the corporate formation and data privacy and security issues related to physician and payer clinically-integrated networks and health care value-based service business arrangements. As advisor to mid-sized companies and start-ups, she has structured complex business transactions resulting in commercializing data-driven health care technology, interoperability platforms and the secure exchange of personal health information.

Linda previously served as outside General Counsel for a 2,200-member New Jersey chapter of a national therapy association for 10 years while in law firm practice. She also served in various high-profile, in-house counsel positions:

  • As Associate General Counsel of a safety net trauma hospital and academic medical center in Newark, NJ, Linda provided corporate, transactional and regulatory guidance to the executive management team, Hospital Department chairs and Committees, including on corporate acquisitions, master services agreements, joint ventures, employment/consultant agreements, medical equipment purchase and lease contracts and data privacy and security measures
  • Part of a team that helped to overhaul a hospital’s and academic medical center’s legal contracting, ethics and compliance training and regulatory oversight functions, as required by a U.S. Department of Justice five-year, $8.3 million corporate integrity agreement
  • Counseled executive management and hospital medical staff on matters involving health care law (Anti-Kickback, Stark, False Claims), data privacy and security, and regulatory issues
  • As in-house counsel for an advisory and consulting services start-up, Linda worked closely with market-facing, cross-functional business development, sales/marketing and product/service implementation teams, where she spearheaded the legal contracting, negotiating and compliance functions, often in collaboration with the New Jersey Department of Health to develop and manage the contracting function for the New Jersey Health Information Network, which efforts resulted in bottom-line earnings exceeding $120 million in the company’s maiden four years
