Anthony S. DiSandro and John C. Kilgannon Present to In-House Counsel at the Association of Corporate Counsel Greater Philadelphia/Delaware Valley 8th Annual In-House Counsel Conference

PHILADELPHIA and VALLEY FORGE, PA, April 26, 2016 – Stevens & Lee Shareholders Anthony S. DiSandro and John C. Kilgannon presented at the Association of Corporate Counsel Greater Philadelphia/Delaware Valley 8th Annual In-House Counsel Conference on April 19, 2016, in Philadelphia.

Messrs. DiSandro and Kilgannon were joined by Alyson Spurlock Danner, Assistant General Counsel, Bank of America, N.A., who provided commentary from her unique perspective as in-house counsel at a large financial institution.

In “Structuring and Negotiating Credit Agreements with Lenders,” the attorneys provided a detailed overview of initial considerations, perspectives from lenders and borrowers and the structure of credit agreements. The presentation also covered borrowers’ continuing obligations after closing and post-default strategies for borrowers.

Mr. DiSandro concentrates his practice in the area of corporate law, representing privately-held and publicly-traded companies in various corporate transactions, including mergers and acquisitions and debt and equity financing that involves private equity funds, mezzanine lenders and financial institutions.

Mr. DiSandro represents borrowers, financial institutions, mezzanine lenders and private equity funds in all types of financing transactions, including asset and stock acquisitions, leveraged buy-outs, management buy-outs, private equity investments, construction loans, trade finance, asset-based lending (including equipment, inventory and receivables financing), as well as general working capital finance.

He represents privately-held companies in various merger and acquisition transactions, including negotiated buy-side and sell-side transactions, restructurings, management buyouts, leveraged buy-outs and recapitalizations. He has a J.D. from Temple University School of Law and a B.S. in Finance from Villanova University.

Mr. Kilgannon represents clients operating in a wide range of industries in commercial bankruptcy proceedings. He also has represented numerous clients in commercial litigation, creditors’ rights actions and out-of-court workouts and loan restructuring in various jurisdictions.

Mr. Kilgannon assists insurers in minimizing their coverage exposure when an insured files for bankruptcy protection. As an active member of the Defense Research Institute, he has authored numerous publications on the risks and opportunities that arise in policyholder bankruptcies.

Mr. Kilgannon also represents several large multiemployer pension plans in bankruptcy cases throughout the United States and has acted to ensure that the pension funds’ statutory and contractual rights are not impaired by the bankruptcy process. He has successfully represented creditors with multi-million dollar secured claims in Chapter 11 proceedings and state court. Mr. Kilgannon has extensive experience in litigation relating to the recovery of secured and unsecured debts in federal and state court. He holds a J.D. from the University of Pittsburgh School of Law, an MBA from Drexel University and a B.S. from Shippensburg University.
