Stevens & Lee has represented mutual savings associations and savings banks in their conversions to stock form. We have also represented numerous institutions in converting their charters. We have also served as underwriters’ counsel to a number of investment banking firms in connection with the related stock offering to depositors and the community. As issuer’s counsel, we handle all aspects of the conversion process, from planning to preparation of the plan of conversion and all related documents, regulatory applications and preparation of the member proxy statement, as well as the prospectus and all other offering documents. We also prepare employment contracts and stock compensation plans, including ESOPs, and charitable trust documents, and prepare the Board and management for life as a publicly traded company.
